Introduction The present Terms and Conditions ("Terms") govern the provision of the Software as a Service (SaaS) ("Service") that CatalogueFlow provides to its users ("Users"). These terms are binding and mandatory for all Users of our Service. If you are using our SaaS system, visiting a CatalogueFlow web page, or communicating electronically with us from a country other than Spain, communications will involve a transfer of information across international borders. If you do not consent to the collection and/or transmission of your data in the manner described above, please do not use the SaaS system. By using our software or free trial services, you are giving your consent to the collection, use, and transfer of your personal data by CatalogueFlow. By using our Service, you confirm that you have read, understood, and accepted these Terms. These Terms and any dispute or claim arising in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by and interpreted in accordance with the laws of Spain. Each party irrevocably submits to the exclusive jurisdiction of the courts of Valencia, Spain in relation to any dispute or claim arising out of, or in connection with, these Terms or their subject matter or formation (including non-contractual disputes or claims). Service Description CatalogueFlow is an advanced application that provides users with a comprehensive platform to optimize and enhance their product descriptions by utilizing the latest Artificial Intelligence (AI) technology through OpenAI\'s GPT language model. The workflow within CatalogueFlow was designed to be intuitive and easy to use. Users can synchronize their product list directly on the platform through a variety of methods, including uploading CSV or Excel files, or providing OpenAI API credentials. The application supports seamless synchronization with a variety of e-commerce platforms like Magento, WooCommerce, and others, allowing for efficient integration with the user\'s existing e-commerce operations. Once synchronized, users can enhance their product descriptions using our powerful AI technology. Users can provide custom guidelines to direct the generation of descriptions, ensuring results that align with their brand and business goals. These processes are carried out through secure and protected data transmissions. Users also have the opportunity to export their enhanced product descriptions to Excel for review and use outside the platform. This functionality allows a high degree of flexibility for users who wish to work with the data in their own environment or software. CatalogueFlow takes data security and privacy very seriously. All data transmitted and processed through CatalogueFlow are stored on European servers and European databases. We adhere to the strictest data security standards and follow all relevant laws and regulations to ensure that user data is safe and protected at all times. Our aim at CatalogueFlow is to provide an effective and secure tool that allows our users to enhance and optimize their product descriptions through AI, efficiently and simply Registration and Account Security To use our CatalogueFlow service, users must register and create a customized account by providing their full name, email address, password, and company name. Upon registration, a confirmation email will be sent to the provided address, and the user must confirm their email to complete the registration and start using the service. This process ensures the authenticity and security of access to the service. CatalogueFlow will never ask users to provide or verify their password via email, and users are responsible for maintaining the confidentiality of their password. We strongly recommend creating secure passwords and regularly updating them. For additional security, we offer two-factor authentication through Google Authenticator. This extra level of security requires the user to provide two different forms of identification: their password and a second verification via Google Authenticator. All data transmitted through our platform are secure, and our website uses an HTTPS certificate to ensure that all information sent between the user\'s web browser and our website is encrypted. In addition, we use Amazon Web Services (AWS) servers in Europe, which provide industry-leading security measures. Within our organization, all internal accesses are protected by multi-factor authentication (MFA), providing an additional layer of security. CatalogueFlow employees do not have direct access to user data and their contents. All passwords and accesses are protected by an encryption system resistant to brute force attacks. At CatalogueFlow, we take data security very seriously and are committed to protecting the privacy and security of our users. We adhere to industry best practices and relevant laws and regulations in all our operations. Privacy Policy User privacy is of paramount importance to CatalogueFlow. We are committed to protecting the personal information provided by users and using it only for the purposes expressed in our Privacy Policy, which forms an integral part of these Terms and Conditions. We use Google Analytics and Hotjar to collect information about the use of our platform anonymously. These tools help us better understand how our users interact with our service, allowing us to continuously improve and optimize our platform to offer a better user experience. It\'s important to clarify that the information collected through these tools is completely anonymous and does not contain any identifiable personal data. Additionally, this information is exclusively for internal use and will in no way be shared with third parties unless required by law. We adhere to industry best practices to ensure the privacy and security of our users, and we do not share any personal information of users with third parties unless required by law. Intellectual Property The content generated through our Service, including product descriptions generated by artificial intelligence (AI), is considered intellectual property of the user who generated it. This means that users have full rights to use, reproduce, distribute, modify, display, and/or publish these descriptions anywhere and in any manner they choose, subject to any restriction that may be imposed under applicable intellectual property laws. Additionally, CatalogueFlow grants each user a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use the content generated through the Service for any purpose, including, but not limited to, commercial purposes. In practical terms, this means that users can make commercial use of the generated descriptions without any restriction from CatalogueFlow. It\'s important to note that, while CatalogueFlow retains rights over the software, the database, and the platform designs, it does not retain rights over the content generated by users through their interaction with the platform. However, CatalogueFlow reserves the right to use the generated content to improve the Service, in compliance with our privacy policies and always respecting the user\'s anonymity and security. Finally, users should ensure that the content they generate and use through our Service does not infringe on the intellectual property rights of third parties. Users are fully responsible for any intellectual property rights infringements that may occur as a result of their use of the Service. Use of the Service and User Conduct CatalogueFlow is a platform created to facilitate and improve the generation of product descriptions. Users must use the Service responsibly, in accordance with legality and always respecting these Terms and Conditions. It's important to note that any inappropriate use or infringement of the set provisions may result in the suspension or cancellation of the user's account. Users agree that they will not use our Service to: a. Conduct, promote or encourage any type of illegal activity. b. Upload or transmit content that is offensive, defamatory, obscene, violent, xenophobic, racist, sexually explicit, discriminatory, or in some way inappropriate. c. Attempt to access without authorization, disrupt or alter any system, data or information of the Service. d. Attempt to decode, decompile, disassemble or reverse engineer any software that is part of the Service. e. Upload or transmit any kind of malicious software, such as viruses, worms, trojans, ransomware, spyware, adware or other computer code, file or program that is harmful or invasive, or that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment, or any other aspect of the Service or its operation. f. Use any robot, spider, scraper, or other automated means to access the Service for any purpose without the express written consent of CatalogueFlow. CatalogueFlow reserves the right to review, suspend or cancel accounts that do not comply with these guidelines. It's the user's responsibility to ensure their use of the Service adheres to these terms and all applicable laws and regulations. Termination of Service Users have the full right to cancel their account and discontinue the use of our services at any time. For users with paid accounts, cancellation will take effect at the start of the next billing month following the cancellation request. Partial refunds for remaining days in the current month will not be offered. In addition, CatalogueFlow reserves the right to suspend, cancel or disable any user account and its access to services for any reason and at any time. This includes, but is not limited to, any violation of these Terms and Conditions, inappropriate use of the Service, conduct that could harm CatalogueFlow's reputation or operation, or for any other reason at CatalogueFlow's discretion. In the event of termination of service, whether by the user or by CatalogueFlow, all data associated with the user's account will be deleted in accordance with our data retention and privacy policies. Finally, we want to reiterate that the continued use of CatalogueFlow services after the termination of the account for any reason is strictly prohibited unless new consent is obtained from CatalogueFlow. Limitations of Liability Although CatalogueFlow strives to provide the highest quality AI-generated product descriptions, we cannot guarantee that all descriptions will be accurate, complete, reliable, or suitable for each user's specific needs. Since the Service is based on AI technology, the accuracy and relevance of the generated descriptions may vary. CatalogueFlow will not be liable to the user for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from the use or the inability to use the Service. This applies regardless of whether CatalogueFlow has been informed or not of the possibility of such damages and even if a remedy set forth here is found to have failed its essential purpose. This limitation of liability applies to the maximum extent permitted by law and is not intended to exclude or limit CatalogueFlow's liability in cases of gross negligence, fraud, or malicious conduct. It is the user's responsibility to review and approve all generated descriptions before their use. CatalogueFlow assumes no liability for the users' use of the generated descriptions, including any liability for infringements of intellectual property rights or any other applicable law or regulation. Payment Policies Our Service is offered under a subscription model, with a monthly cost of € 14 euros, charged upfront. This subscription includes access to the CatalogueFlow platform and its main features, allowing you to generate up to 150 product descriptions in two languages of your choice. If you wish to generate more than 150 descriptions, an additional charge of 0.3 euros per additional description will apply. If you need to generate descriptions in more than two languages, you can also do that, with an additional charge of 150 euros for each additional language you add to your subscription. In addition to product descriptions, this subscription includes associated additional services, such as rewriting product titles and creating keywords for use in SEO and other marketing strategies. Subscription payment can be made through the Stripe platform, where we accept all major credit cards, or by direct bank transfer. It is the user's responsibility to keep their payment method up-to-date and to ensure there are sufficient funds to cover the cost of the subscription and any additional charges that may apply. Delays in payment or failure to pay may result in the suspension or termination of the Service. We recommend you keep your payments up-to-date to avoid any disruption to your service. Payments made to CatalogueFlow are non-refundable, except in cases where applicable law or our own policies require it. It is your responsibility to cancel your subscription if you no longer wish to use our Service. Cancellation requests must be made at least 24 hours in advance of the next billing cycle to avoid additional charges. Updates to these Terms and Conditions CatalogueFlow reserves the right, at its sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will endeavour to provide at least 30 days' notice prior to any new term taking effect. What constitutes a material change will be determined at our sole discretion. When changes are made, we will update them on this page and, where appropriate, notify our users via email or through visible notifications on our platform. We recommend that you review these Terms and Conditions periodically for any changes. Your continued use of the Service following the posting of any changes to these Terms and Conditions means that you accept such modifications. Please remember, it is your responsibility to review these Terms and Conditions regularly and be aware of any changes. If you disagree with the modified terms, you have the option to discontinue using the Service. Your continued use of the Service after the date the modified terms take effect will constitute your acceptance of the modified terms. Applicable Law and Jurisdiction These Terms and Conditions, as well as any dispute arising from or in connection with them or their subject matter or formation (including non-contractual disputes), will be governed by and construed in accordance with the laws of Spain, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction. Any dispute, claim, action, demand, or proceeding resulting from or related to these Terms and Conditions or their interpretation will be definitively resolved by arbitration in Valencia, Spain, in accordance with the arbitration rules of the Valencia Chamber of Commerce in force at the time of the dispute, which are considered an integral and complementary part of this clause. The language to be used in the arbitration will be Spanish. The arbitrator's decision will be final and binding on the parties and may be presented to any competent court for its execution. Notwithstanding the above, nothing in this clause will prevent CatalogueFlow from applying for injunctive remedies in any jurisdiction. You acknowledge and agree that you are waiving your right to participate as a plaintiff or class member in any purported class action or representative proceeding. Further, unless both you and CatalogueFlow otherwise agree in writing, the arbitrator may not consolidate the claims of more than one person and may not preside over any form of any class or representative proceeding. If you do not agree with these Terms and Conditions, you should refrain from registering and using our Service. Your continued use of our Service after the posting of changes to these terms means that you accept those changes. If you disagree with the Terms, your only solution is to stop using the Service.
